1.股东和董事：一位或一位以上年满18岁股东（ 有护照或身份证的内地公民或海外人士均可）; 股东是股份公司的投资者，董事是由股东选举产生，属公司的管理者，董事主席是董事会选举产生。从2004年3月开始，香港只要求一位股东就可以注册香港公司。在成立公司前最好先确定股东、董事、董事主席， 并安排好各股东的股份比例；

2.法定秘书和注册地址：政府规定有限公司必须有一名法定秘书，法定秘书由香港本地自然人或法人担任。每个公司都必须有注册地址. 如果需要，法定秘书和注册地址可由本司提供；

3.注册资本：有限责任公司最低注册资本为1万元港币，注册资本厘印税1/1000。注册资本的大小（有限责任的大小）根据公司的实际需求决定。如果打算到中国境内投资，中国政府要求注册资本至少要超过100万人民币；

4.名称选择：香港公司起名较自由，不论注册资金大小，政府允许公司名称含有国际、 集团、控股、实业、投资、财务、学院、中心、研究所等字眼；公司名称前面还可以加上自己喜欢的地名，如：法国、美国、中国、香港、上海等, 也可以不加任何地名, 但公司必须以”有限公司”或LIMITED结尾；

5.经营范围：香港公司的经营范围原则上并没有太大的限制。 只要在公司名称里没有限定某种行业，企业就可经营任何性质的业务，如：财务与投资、医疗保健、船务运输、进出口贸易、房地产、建筑、装饰装潢、信息网络、服装纺织、旅游、文化出版等；一些在中国比较难注册的公司都可以在香港注册。

6.办理程序：委托书—》签署协议—》交付定金—》亲自签署法定文件—》立即送到香港政府办理—》10-15个工作日办理完毕—》交结绿盒；（新成立公司：10-15工作日；购买现成公司：2- 3工作日；分公司：2-4工作日）

10.银行开户：企业银行账户必须在成立公司后才能申请。开户一般要求董事亲临银行办理，日聪会协助配合，如： 推荐开户银行 / 准备开户文件 /准备会议记录 / 银行开户申请书 / 安排介绍人 / 专人陪同直到开户完毕。 开户收费港币1800元（开户前必须带齐开户文件和存入账户现金约8000-10000港币）；

11.年审年报：香港公司注册后，每年必须向公司注册处和税务局申报并续证一次。费用约4705港币左右(政府费用港币2705元、日聪法定秘书和手续费用港币2000元)，政府费用随政府的调整而浮动。

12.会计审计：没有发生业务的公司可以直接零报税；有发生业务的香港公司就必须经过做账审计后报税。以年营业额500万为例，做账费用约3500元港币，审计约5500元港币，具体价格视乎票据多少和其它综合因素而定。无限公司做完账就可以直接报税, 不需要通过审计的过程.

13.企业税赋：香港政府按公司净利润的17.5%征收利得税；香港没有营业税和增值税，进出口货品除烟酒化妆品外免税。个人所得税由2%-20%以阶梯级递进.

14.发票和印章：香港公司的发票不是由税务局统一印制，是由公司董事局根据公司的业务性质印制发行的。发票收据及其它单据要加盖公司章，并由负责人签署后方为有效。印章按实际需要定做即可.

注册中国外资合作企业

注册资本：

办理外资合作需要提供的文件

1、外商投资方的注册证与商业证的复印件；

2、两份银行资信证明原件，表明投资方的资信状况，需在6个月以内颁发的，有中英文对照 ；

3、外商投资者的董事会决议；

4、法人代表的护照复印件、2张照片，或香港身份证、准入通行证 ；

5、场地租赁合同正本2份

6、投资方公司及董事的材料，如香港公司的周年申报表

7、董事长及董事会成员任命书。

8、拟办中国公司的可行性研究报告、章程、中方与外方的合同，如超过一个投资方，还需投资方之间的协议，表明双方权利、责任、投资比例，关于讨论商业事务、解决争议的规则等等。

1.         外商代表处简介：

外商企业代表处，又称外国企业在华常驻代表机构，外资公司在中国设立的代表处是一个代表母公司在国内的业务联络机构，所以，办事处并不是一个独立的法人实体，不可以进行直接的盈利性质的商业活动。外国企业的驻华常驻代表机构只能在其登记证规定的范围内从事活动。外商企业办事处不能与其用户或客户进行直接的商业活动，也不能签订任何协议，所以办事处所能进行的都是“间接的商业活动”。例如：公关活动、业务联络、 产品展示、 市场调研、 科技交流。但是，如果中国和该外国企业所在国政府签订有双边条约，该双边条约明确规定外国企业常驻代表机构可以在华从事直接经营活动的，则应当按照这些规定办理。

 

2.      外商代表处的优势：

注：上述材料一并经中国司法部授权的香港律师办理公证并送中国法律服务有限公司加盖转递章，提供公证后的文件一式2套（本司可代为办理公证）。

相关文件如由授权代表签字的应提交授权书。外文必须提供中文翻译版本，按要求提交复印件的材料，应由申请人加盖公章，并注明与原件一致。

 

5.      办理外商代表处流程：

委托书→交付定金→办理工商执照→到公安局指定机构刻印章→申领企业组织机构代码证书→开立基本帐户→办理国税、地税税务登记证→交余款。
